This Terms and Conditions Agreement ("Agreement") governs the rights, responsibilities, and obligations of hospitals and clinics ("Partner", "Hospital", "Clinic", or "you") utilizing the Stethzcope Hospital Platform, owned and operated by Stethzcope Technologies Private Limited, a company incorporated under the Companies Act, 2013, with its registered office at 12/68/A, Ward No 12, Mathanathkuzhi House, Kuniyil, Kizhuparambu PO, Malappuram ("Company", "Stethzcope", "we", "us", or "our").

By registering for and using the Stethzcope Hospital platform, the Partner confirms that it has read, understood, and agrees to be legally bound by this Agreement.

1. Definitions
  • Stethzcope App: The customer-facing mobile application allowing patients to book consultations, either in-person or online.
  • Stethzcope Hospital Platform: The web-based interface designed for hospitals and clinics to manage appointments, practitioner availability, and other operational tasks.
  • Patient: Any individual using the Stethzcope App to book and receive medical consultation services.
  • Consultation: A scheduled medical appointment, whether in-person or via teleconsultation, conducted by the Partner or its medical professionals.
2. Eligibility and Onboarding
  • 2.1 To be eligible for registration, the Partner must be a legally established healthcare entity, duly licensed under applicable local and national laws.
  • 2.2 The Partner must provide accurate and verifiable documentation during onboarding, including:
    • Legal registration documents of the hospital/clinic.
    • Medical and practitioner licenses as per governing health authorities.
    • Details of practitioners, their availability, and qualifications.
    • Bank account details for settlements.
  • 2.3 Stethzcope reserves the right to approve or reject applications at its sole discretion and to suspend or terminate onboarding for non-compliance.
3. Partner Responsibilities
  • 3.1 Appointment Fulfillment: The Partner must honor all confirmed bookings made via the Stethzcope App. Unavailability or repeated cancellations without valid reasons will be considered a breach of this Agreement.
  • 3.2 Quality of Care: The Partner must deliver high-quality medical services consistent with clinical and ethical standards. All practitioners must hold valid licenses.
  • 3.3 Platform Accuracy: The Partner must maintain up-to-date details such as doctor schedules, pricing, and services. Inaccurate information may lead to suspension.
  • 3.4 Patient Interaction: The Partner must ensure courteous, professional, and non-discriminatory behavior toward all patients. Any form of mistreatment may lead to termination.
4. Payment Terms
  • 4.1 Fees and Commission: The Partner agrees to pay applicable platform fees and commissions as communicated by Stethzcope.
  • 4.2 Invoicing and Settlement: Invoices will be generated periodically and must be paid within 7–15 business days.
  • 4.3 Consequences of Non-Payment: Failure to pay on time may result in suspension or termination of the Partner account.
5. Suspension and Termination
  • 5.1 Grounds: Stethzcope may suspend or terminate access for:
    • Repeated appointment failures
    • Non-compliance with laws or this Agreement
    • Non-payment of dues
    • Patient complaints
    • Unauthorized data use
  • 5.2 Effects of Termination: Access will be revoked, pending dues must be cleared within 15 days, and patient data handled per data protection laws.
6. Confidentiality and Data Protection
  • 6.1 Partners must keep patient and platform data strictly confidential.
  • 6.2 Partners must comply with data privacy laws, including the Information Technology Act, 2000, and the Digital Personal Data Protection Act, 2023.
  • 6.3 Any data breach or misuse may lead to termination and legal action.
7. Platform Usage and Intellectual Property
  • 7.1 Stethzcope grants a limited, non-transferable license to use the platform for its intended purpose.
  • 7.2 The Partner shall not:
    • Modify, reverse-engineer, or tamper with the platform.
    • Use it for unlawful purposes.
    • Use Stethzcope branding without prior written consent.
8. Limitation of Liability
  • 8.1 Stethzcope is a technology facilitator and is not responsible for the quality or outcomes of medical services.
  • 8.2 Stethzcope will not be liable for any damages arising from Partner activities, system errors, or patient interactions.
  • 8.3 The Partner agrees to indemnify and hold Stethzcope harmless against any claims arising from its use of the platform.
9. Modifications to the Agreement

Stethzcope may modify these terms at its discretion. Continued use after updates constitutes acceptance of the revised Agreement.

10. Governing Law and Jurisdiction

This Agreement is governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Malappuram, Kerala, India.
